These Terms of Use (“Terms”) govern your use of hansencapitalmanagement.com and its client portal (together, the “Site”), operated by Hansen Capital Management LLC (“we,” “us,” “our”), Lincoln, Nebraska. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Information Only — No Professional Advice

Content on the Site is general information. It is not tax, legal, accounting, or investment advice for your situation, and reading it or contacting us does not create a client relationship. A client relationship begins only when you and we sign a written engagement letter.

2. No Offer of Securities

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in any investment vehicle. Any such offering may be made only through confidential offering documents and only to investors who meet applicable eligibility requirements. Bookkeeping, tax, and analytics services are offered separately from investment management activities and do not constitute investment advice.

3. Our Services and Your Engagement Letter

The scope, fees, responsibilities, and timelines for bookkeeping, tax, and analytics services are set out in your engagement letter. If these Terms conflict with your engagement letter, the engagement letter controls. Prices shown on the Site are starting points; your engagement letter states your actual fees.

4. Client Portal

• Accounts. Portal accounts are for clients and the people they authorize. Keep your login details confidential and tell us promptly at general@hansencapitalmanagement.com if you suspect unauthorized access. You are responsible for activity under your account.
• Your uploads. Only upload documents you have the right to share with us. You are responsible for the accuracy and completeness of the information you provide; our work relies on it.
• Acceptable use. Do not attempt to access another client’s data, probe or disrupt the Site’s security, upload malicious files, or use automated tools to access the Site.
• Suspension. We may suspend or close portal access to protect the Site or our clients, or when an engagement ends. We will make reasonable efforts to return or make available your documents as described in your engagement letter and our Privacy Policy.

5. Payments

Invoices may be paid online through our payment processor, Stripe. Payment terms are set by your engagement letter and invoice. We do not store full card numbers.

6. Third-Party Services

The Site uses third-party services, including Calendly (scheduling), Stripe (payments), Supabase (portal hosting and storage), GitHub Pages (website hosting), and Google Analytics (only with your consent). Their own terms and privacy policies apply to your use of them. Links to other websites are provided for convenience; we are not responsible for their content.

7. Intellectual Property

The Site’s content, design, logos, and software are owned by Hansen Capital Management LLC or its licensors. You may view and print pages for your personal or internal business use. Reports and statements we prepare for you are yours to use for your business, as described in your engagement letter.

8. Disclaimer

The Site is provided “as is” and “as available.” To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Site will be uninterrupted or error-free. Dashboard figures are prepared from the information available at the time and may be revised as books are closed.

9. Limitation of Liability

To the extent permitted by law, Hansen Capital Management LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our liability for professional services is governed by your engagement letter.

10. Governing Law

These Terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law rules. Any dispute relating to the Site will be brought in the state or federal courts located in Lancaster County, Nebraska.

11. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above shows when they last changed. Continued use of the Site after a change means you accept the updated Terms.
